Annual vs. BoardHow the annual meeting differs

The annual membership meeting is not the same as a regular board meeting. The full membership participates — not just the board — and the agenda must accommodate proxy voting, absentee ballots, and a director election. Most states require a longer advance notice period (typically 10–30 days) and specific notice content for annual meetings.

Certify notice before any business

Agenda item 2 — Certification of Notice — is not a formality. If notice was deficient (wrong date, missing required content, posted too late), business transacted at the meeting may be voidable. Have the secretary confirm the method, date posted, and that it meets governing document requirements before proceeding.

Count proxies before calling for quorum

Many associations fail to achieve quorum at annual meetings because they only count members physically in the room. Collect and count proxy forms and absentee ballots before the meeting starts. Your template includes separate fields for each category.

Explain the election procedure before distributing ballots

Before ballots go out, briefly explain the process: how many positions are open, how many candidates each member may vote for, how ballots are counted, and who the inspectors of election are. This prevents challenges after results are announced.

Limit the Membership Forum

The annual meeting is not a grievance session. A published time limit (three minutes per speaker is standard) gives the board standing to move the meeting forward. Without a posted limit, extended commentary can stretch a 60-minute meeting to three hours.

Adjourn before announcing election results if counting takes time

If ballot counting will take more than a few minutes, consider announcing that results will be communicated via email within 24–48 hours and adjourning the meeting. This is cleaner than keeping members waiting and is usually permitted by governing documents.
