Be specific in the Purpose section — vague agenda items invite challenges
“Financial matters” is not a valid agenda item for a special meeting. Owners and disgruntled board members commonly challenge special meeting actions by arguing the noticed purpose was too vague to put them on notice of the actual action taken. Be specific: “Approval of emergency roof replacement contract with Apex Roofing, not to exceed $47,000” is defensible. “Roof issues” is not.
Know your notice window before you schedule the meeting
Most state statutes and governing documents specify a minimum notice period for special meetings — often 48 hours for board meetings but sometimes longer. Some require the notice to be posted in a conspicuous location and mailed or emailed. Check both your state statute and your bylaws before setting the meeting date. A meeting held with insufficient notice is voidable.
Include virtual meeting credentials even for in-person meetings
Many associations now allow members to attend virtually as observers even when the meeting is primarily in-person. Including a Zoom or Teams link in the notice costs nothing and removes a common objection from members who can't travel to the location.
Document every distribution method you use
The certification section includes checkboxes for each distribution method. Check every box that applies — and keep a record of when each was done. If a board decision is later challenged, you want to be able to demonstrate that notice was provided in multiple ways within the required window.
Don't expand the agenda mid-meeting
At a special meeting, the board should resist the temptation to address “while we're here” items not listed in the notice. Even with unanimous board agreement, taking action on un-noticed items at a special meeting is a procedural defect that can invalidate the decision. Schedule a regular meeting or issue a new special meeting notice for additional items.
